Flatworld Solutions Inc. Affiliate Program Terms & Conditions

These Terms & Conditions apply to all services offered under the Flatworld Solutions Affiliate Program, except for services that may be subject to additional regulatory requirements or restrictions.

1. Overview of Partnership

The Flatworld Solutions Inc. Affiliate Program is designed to reward individuals and organizations who promote our specialized services – including customer support, mortgage back-office support, insurance back-office operations, and accounting services—such as accounts reconciliation, outsourcing accounting, and bookkeeping—through their platforms. You will earn commissions for referring qualified leads or customers through your unique affiliate link.

2. Eligibility Criteria

To participate, you must:

• Be at least 18 years of age.
• Own or manage a legitimate website, blog, social media profile, or audience channel.
• Not promote content that is discriminatory, hateful, adult-themed, violent, or illegal.
• Comply with all applicable laws, including but not limited to, the Federal Trade Commission (FTC) disclosure rules, CAN-SPAM Act, and relevant privacy/data regulations (e.g., GDPR, CCPA).

We reserve the right to approve or decline any application at our sole discretion and may re-evaluate eligibility at any time.

3. Commission Structure

As a Flatworld Solution Inc affiliate, you have the opportunity to earn through one or more of the following commission models, depending on your partnership tier and the campaign you’re enrolled in:

Cost-Per-Lead (CPL)

Flatworld Solutions Inc. operates on a Cost-Per-Lead (CPL) commission model. Affiliates earn a fixed payout for each Sales Qualified Lead (SQL) referred through their unique tracking link, subject to validation and approval by Flatworld's sales team.

CPA (Cost Per Acquisition) Model

The CPA model is available to select affiliates who operate high-traffic websites or platforms with proven conversion capabilities. This model rewards affiliates for driving actual client acquisitions rather than just leads.

Eligibility Criteria:

• Must demonstrate significant traffic volume and audience relevance
• Subject to Flatworld's validation and approval process

Rev Share (Revenue Share) Model

The Rev Share model allows affiliates to earn 10% of the revenue generated from their referred clients for a duration of 12 months from the date of conversion.

4. Program Restrictions

To maintain fairness and brand integrity, the following activities are strictly prohibited:

• PPC Restrictions:
  

  To maintain brand integrity and lead quality

  - Affiliates must not bid on Flatworld Solutions Inc.’s branded keywords or close variants on platforms like Google, Bing, or Meta.

  - Direct linking from paid ads to Flatworld’s website or landing pages is prohibited.

• Misleading Content: Misrepresenting our services, making false claims, guarantees, or affiliations, or engaging in link baiting or placing ads that could mislead customers in any way.
• Spam or Unsolicited Outreach: Email spamming, comment spamming, or any deceptive practices to drive traffic.
• Coupon and Deal Sites: Listing Flatworld Solutions on discount or coupon sites without explicit authorization.
• Brand Impersonation: Registering domains or social profiles that appear to be official Flatworld Solutions Inc. properties.
• Intellectual Property Rights: Unauthorized copying, reverse engineering, redistribution, reproduction, publication, or modification of Flatworld Solutions' logos, brand name, or content.

Data Privacy and Information Security: You must not store, use, or sell PII (Personally Identifiable Information) and other confidential information about clients and organizations as per GDPR/CCPA compliance without written consent from the parties during or after the course of our partnership.

Failure to comply may result in termination of the program and forfeiture of commissions.

5. Termination Clause

Either party may terminate this agreement at any time, with or without cause:

• Affiliate-Initiated Termination: You may opt out by contacting partners@flatworldsolutions.com.
• Company-Initiated Termination: Flatworld Solutions may terminate your account at its discretion. Grounds for immediate termination include breach of these terms, suspected fraud or abuse, or brand reputation damage.

Upon termination, you must remove all affiliate links and branded content. Any outstanding approved commissions will be paid in the next scheduled payment cycle, unless termination is due to fraud, breach of terms, or non-compliance—under which commissions may be withheld at Flatworld Solutions’ discretion.

Dispute Resolution

If you believe a commission has been unfairly withheld or if you wish to contest the reason for termination, you may submit a written dispute to partners@flatworldsolutions.com within 30 days of receiving notice. Flatworld Solutions will review the dispute in good faith and communicate a final decision in writing.

6. Modification Rights

Flatworld Solutions Inc. reserves the right to revise, update, or modify any aspect of this Affiliate Program Agreement — including but not limited to commission rates, referral policies, tracking mechanisms, and payout procedures — at its sole discretion.

Affiliates will be notified of such changes with a minimum of seven (7) calendar days' notice, delivered via email or through the affiliate dashboard. Continued participation in the program following the effective date of any update shall constitute the affiliate's acceptance of the revised terms.

A version history of this agreement will be maintained and made available for reference to ensure transparency and compliance.

7. Legal Disclaimers

• No Guarantee of Earnings: We do not guarantee specific income levels. Earnings are dependent on your performance and conversions.
• Independent Contractor: You act as an independent contractor. Nothing in this agreement forms a legal partnership, joint venture, or employer-employee relationship.
• Liability Limitation: We are not liable for indirect, incidental, or consequential damages arising from or related to this agreement or the affiliate program.
• Governing Law: This agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America, with jurisdiction in Princeton.

8. Tax Compliance & Payment Deductions

8.1 Tax Responsibilities

Affiliates are solely responsible for determining and fulfilling any tax obligations applicable in their jurisdiction. Flatworld Solutions does not provide tax advice and will not be held liable for any tax-related matters arising from affiliate earnings.

8.2 U.S. Tax Documentation

As a U.S.-based entity, Flatworld Solutions Inc. requires all U.S. affiliates to submit a valid IRS Form W-9 prior to receiving any commission payments.

Non-U.S. affiliates may be required to submit Form W-8BEN or equivalent documentation, as applicable.

Failure to submit required tax forms may result in delayed or withheld payments.

By signing below, both parties acknowledge and agree to the terms and conditions outlined in the Flatworld Solutions Affiliate Program Agreement, including commission structure, referral policies, payment terms, and compliance obligations.

Glossary

• Affiliate: An individual or organization that promotes Flatworld Solutions' services and earns commissions for qualified referrals.
• Affiliate Program: The program through which affiliates can earn commissions by referring leads or customers to Flatworld Solutions.
• Commission: The payment earned by an affiliate for referring a qualified lead or customer.
• Cost-Per-Lead (CPL): A commission model where affiliates are paid a fixed amount for each qualified lead referred.
• Sales Qualified Lead (SQL): A referred lead that meets Flatworld Solutions' criteria and is approved by the sales team.
• Referral Window: The period after a user clicks an affiliate link during which the affiliate is eligible for commission if the user becomes a qualified lead.
• Locking Period: The time after a lead is referred during which the lead's validity is confirmed and the commission is finalized.
• NET 45: Payment term meaning commissions are paid 45 days after the end of the locking period.
• Branded Keywords: Keywords that include Flatworld Solutions' brand name or close variations, used in online advertising.
• Personally Identifiable Information (PII): Information that can identify an individual, such as name, email, or phone number.
• GDPR/CCPA: Data privacy regulations (General Data Protection Regulation and California Consumer Privacy Act) that govern how personal data is handled.
• Termination: Ending the affiliate relationship, either by the affiliate or Flatworld Solutions.
• Independent Contractor: A person or entity engaged in business independently, not as an employee or partner of Flatworld Solutions.
